Terms of Service

These terms govern your use of ValiCrew. By creating a workspace you agree to them.

Who you are contracting with

ValiCrew is provided by Lenouar Artificial Intelligence Developing Services LLC, a limited liability company registered with the Abu Dhabi Department of Economic Development under commercial registration CN-6272765, with its address at Al Muroor, Abu Dhabi, United Arab Emirates ("Lenouar", "we", "us").

"You" means the organisation that creates the workspace. If you accept these terms on behalf of a company, you confirm you are authorised to bind it.

The service

ValiCrew is a workforce and fleet administration platform: staff records, document expiry tracking, shift scheduling, attendance, leave, vehicles, drivers, payroll preparation and reporting.

We may change, add or remove features. Where a change materially reduces functionality you rely on, we will tell you before it takes effect. We will not remove your ability to export your own data.

Your workspace and your users

You are responsible for:

• the accuracy of what you put into the workspace
• who you invite, and what permissions you give them
• keeping sign-in credentials secure, and telling us promptly if you believe they are compromised
• having a lawful basis to process the personal data of the people you record

Each user must be an identified individual. Shared logins defeat the audit trail that the platform exists to provide, and we may suspend accounts that are clearly shared.

Fees

Subscription pricing, the trial, renewals and cancellation are set out in the Subscription & Billing Terms, which form part of this agreement.

Acceptable use

Your use of ValiCrew is subject to the Acceptable Use Policy. We may suspend a workspace that breaches it, or that puts the platform or other customers at risk. Where it is reasonable to do so, we will warn you first and give you a chance to put it right.

Personal data

For the workforce data you put into ValiCrew, you are the data controller and we are the processor. The Data Processing Agreement sets out the terms on which we process it, and applies automatically — you do not need to sign a separate document. How we handle personal data is described in the Privacy Policy.

Your data belongs to you

We do not claim ownership of anything you put into ValiCrew. You can export your data at any time while your workspace is active, and during any read-only period after a subscription lapses.

Availability

We work to keep ValiCrew available and we take backups (see the Security Policy), but we do not currently offer a contractual uptime guarantee. We would rather say that plainly than publish a number we have not measured. Planned maintenance is scheduled outside UAE business hours wherever possible.

Intellectual property

ValiCrew, its software, design and documentation remain ours. You get a non-exclusive, non-transferable right to use the service for your own business while your subscription is active. You may not copy, resell, reverse-engineer or attempt to extract the source of the platform.

Suspension and termination

You may cancel at any time; see the Subscription & Billing Terms.

We may suspend or terminate a workspace if you breach these terms, fail to pay, or use the service in a way that is unlawful or endangers the platform. On termination, data is handled per the Data Retention & Deletion policy.

Liability

Nothing in these terms excludes liability that cannot be excluded under UAE law, including for fraud or for death or personal injury caused by negligence.

Subject to that, our total liability to you in any twelve-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, loss of profit, or loss arising from your own data being inaccurate or incomplete.

ValiCrew is an administrative tool, not a compliance guarantee. It helps you see expiries, coverage gaps and rule conflicts, but the legal obligations remain yours — see the Payroll & WPS Disclaimer in particular.

Changes to these terms

We may update these terms. Material changes will be notified to workspace administrators by email at least 30 days before they take effect, and the date at the top of this page will change. Continuing to use ValiCrew after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi, and the courts of Abu Dhabi have exclusive jurisdiction.
